Terms and Conditions

1. THE SERVICE

1.1 On receipt of the initial fee*, CD master, artwork and a completed submission form Noisegate will produce the first ten copies of a CD and will place the CD in the online catalogue.

1.2 A single proof will be sent to the artist to confirm what is being shipped to customers.

1.3 When an order is placed the CD will be shipped directly from Noisegate to the customer.

2. ACCOUNTING

2.1 On the first Monday of April, July, October and January accounts are drawn up and statements sent out to all artists.

2.2 If an artist has more than £10 credit then a royalty cheque will be issued on receipt of a valid invoice from the artist.

3. MASTER CD

3.1 Master CD's must NOT be multisession. (data/audio to be written to the CD-Rand the disk closed in one session) we require masters to be written in DISK-AT-ONCE mode (DAO).

3.2 Please be sure your CD master has been checked for errors / glitches as no checks are undertaken on your master before the duplication process.

3.3 We do not accept CD Audio masters created on standalone Audio Recorders on Audio Disks. We have found these discs to be incompatible at times with the duplication process. These disks must be remastered and checked (POA).

3.4 Audio masters created on a PC or MAC are acceptable.

3.5 All CD Masters will be stored by Noisegate to enable stock to be replenished. Noisegate take NO responsibility for data/audio errors on duplicated CD's should your master contain errors.

4. ARTWORK

4.1 All artwork must be submitted on CD-R (unless artwork submission by email has been approved).

4.2 Artwork must be submitted in one of the following formats: TIF, PSD (flattened), PDF or JPEG as a last resort.

4.3 Artwork must be at a minimum of 300 dpi (PLEASE NOTE: NOT CONVERTED TO 300 DPI FROM A LESSER RESOLUTION).

4.4 Submitted artwork files are archived for further printing to replenish stock.

4.5 We do not colour match for CD inlays and on body print - all jobs can expect a + or - 5% variance in colour for CMYK supplied artwork. This is due to the two digital print processes involved in creating the paper parts and CD.

5. WARRANTY, INDEMNITY AND LIMITATION OF LIABILITY

5.1 "Supplies" means all CD's, CD-R's, disks and other materials Noisegate Studios provide to each customer but does not include Materials. "Materials" means the films, CD's, CD-R's, disks and other materials each artist is to provide to us in order for us to perform our services to that artist.

5.2 Artists agree that performance of the services Noisegate Studios provide to that customer will not infringe any law or regulation, including, without limitation any law of copyright or similar law, or any contract (including, without limitation, any licensing agreement) to which that customer is a party or to which that customer is bound or to which the Materials are subject, and that the Material is not obscene, blasphemous or defamatory and will not adversely reflect on our public perception or image.

5.3 Artists agree to indemnify us against all claims, demands, losses, damages, costs and expenses incurred by us as a result of breach by that customer of any provision of these terms and conditions, law or regulation and as a result of any third party legal action or threatened action in relation to the Material or through our involvement with that customer.

5.4 Save as provided above, artists agree our liability for breach of these terms and conditions or any other liability of us to that customer shall be limited to the total value of the contract and that all implied terms, conditions or other legal provisions are hereby excluded; save that neither party shall exclude or limit its liability to the other for death or personal injury caused by negligence. Noisegate Studios will not be liable to artists for indirect, financial, consequential loss, loss of profit, revenue or goodwill.

5.5 The termination of our contract with any artist shall not affect the provisions of this clause which shall continue thereafter.

5.6 Noisegate reserve the right to remove any CD from an online catalogue at any time should the material prove to be offensive or an infringement any copyrights.

6. GENERAL

6.1 No variation of these terms and conditions will be valid unless agreed in writing.

6.2 These terms and conditions, and the documents and agreements (electronic or otherwise) referred to herein set out the entire agreement between ourselves and each artist.

6.3 All representations, warranties or other assurances made by or on behalf of us other than as set out herein, and whether on our Noisegate Studios web site or otherwise, do not form part of these terms and conditions nor shall they be legally enforceable or actionable.

6.4 If any provision of these terms and conditions is found to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions hereof all of which shall remain in full force and effect.

6.5 No forbearance or delay by us in enforcing rights hereunder will prejudice or restrict rights and no waiver of any breach of such rights or waiver of the rights will be deemed to be a waiver of any other right or of any later breach.

6.6 Nothing herein shall constitute or be deemed to constitute a partnership or joint venture or the relationship of partnership and agent or employer and employee.

6.7 All notices shall be in writing and sent to the artist at their address notified to us, or to us at our address given in correspondence, or such other address as the recipient may designate by notice given in accordance with this provision. Any notice may be delivered personally by first class prepaid letter or facsimile transmission (confirmed by first class post) and shall be deemed to have been served if by personal delivery when delivered, if by post 48 hours after posting and if by facsimile transmission when despatched (with successful transmission report).

6.8 These terms and conditions shall be governed by English law, the client and Noisegate Studios both submit to the non-exclusive jurisdiction of the English courts in relation to any dispute hereunder.
